Plain-English summary

Non-binding. These Terms govern your use of the CoopCrowd contribution platform. They explain the single 28-day bundle, fees, contributions, commissions, and your rights and duties. By clicking "I Agree," registering, paying any amount, or accepting a Contribution, you accept every clause — including Appendix A (Marketing Rules) and Appendix B (Current Bundle Schedule).

1. About CoopCrowd

1.1 Corporate form. CoopC Inc. ("CoopC," "we," "our") is a corporation incorporated under the Companies Act of Barbados, Cap 308, with its registered office at Prospect Chambers, Summerland House, Prospect Road, Prospect, St James, BB24008, Barbados.

1.2 Service. We operate a technology platform that enables Members to make irrevocable peer-to-peer Contributions through a single Cooperative bundle ("Tier CC28").

1.3 Non-profit purpose. CoopCrowd promotes mutual aid and financial inclusion — not investor profit.

1.4 No employment or agency. Members participate as independent, self-employed platform users. Nothing in these Terms creates an employer–employee, agency, partnership, or joint-venture relationship.

2. Definitions

VisitorPerson who has supplied only an email address and country declaration. May create referral links but cannot accrue or withdraw commissions.
AffiliatePerson who has connected a wallet, provided legal name + country, and passed sanctions/PEP screening. May accrue Fee commissions but must complete full KYC before any withdrawal.
Active MemberPerson who has paid the full 28-day bundle, completed full KYC, and is not suspended.
Member Benefits(i) Fee Commissions, (ii) Contributions via Rule 8, (iii) Surplus Share Credits, and (iv) Activation Bonus. Visitors receive none; Affiliates receive (i) in "accrual only" mode until KYC is complete.
Marketing Incentive Fund (MIF)Coop-controlled reserve that finances Activation Bonuses and promotions, funded only from non-Contribution revenue.
3. Eligibility & Compliance

3.1 Age & capacity. You must be the legal age of majority in your jurisdiction (18 in most countries) and have capacity to contract.

3.2 Prohibited locations & sanctions. Residents of embargoed jurisdictions or persons on OFAC/EU/UN sanctions lists are barred.

3.3 Identity requirements (risk-based):

  • Visitor — email address, self-declared country, and automated sanctions/PEP screen only.
  • Affiliate — wallet address, legal name, country, and sanctions/PEP screen before any Fee commission may accrue.
  • Full KYC (photo ID, selfie, proof of address) is required before withdrawal or before becoming an Active Member.

CoopCrowd may freeze funds or close accounts to satisfy AML/CTF or fraud investigations.

3.4 One natural person = one account. Corporate entities require Board approval.

4. Membership Status & Renewal

4.1 Grace period. You have 72 hours after the due date to pay the next bundle.

  • Accrual: Member Benefits continue to accrue during this window.
  • Withdrawal freeze: No withdrawals or on-chain transfers are permitted until the overdue bundle is paid.
  • Lapse: If payment is not received by 23:59 UTC on the 72nd hour, you revert to Visitor/Affiliate status; un-withdrawn Contributions and surplus credits are forfeited; earned commissions remain non-withdrawable until you purchase a new bundle.
5. Payments You Make

5.1 Bundle payment. You pay: Administrative/Membership Fee USD $3 + Contribution amount USD $25.

5.2 Taxes & fees. Local VAT/GST, bank charges, and blockchain gas fees are your responsibility.

5.3 Cooling-off right. A new Member may cancel their first bundle purchase within 14 calendar days and receive a full refund of the USD $3 Fee. The Contribution portion is not refundable once distributed on-chain; however, CoopCrowd will credit USD $25 to the Member's internal wallet. Email legal@cooplegals.com with subject "Cooling-Off Cancellation". Refunds processed within 14 days.

6. Contribution Allocation — Rule 8 Multi-Level Split

6.1 Automatic split. Each Contribution is divided into five equal sub-contributions of USD $5.

6.2 Six-level matrix. Sub-contributions populate Levels 1–5 beneath the Sender; overflow goes to Level 6.

6.3 Instant transfer / no skim. 100% of each sub-contribution moves instantly to its recipient wallet; inviters/uplines receive nothing from Contributions.

6.4 Transparency. Sender, recipient, level, amount, and timestamp are recorded in the ledger.

6.5 No guarantee. Receipt of Contributions depends entirely on future voluntary Contributions.

7. Administrative Fee Commissions

7.1 Who qualifies. Visitor/Affiliate and Active Members.

7.2 Commission rate. Inviter earns [X%] of the USD $3 Fee paid by a direct invite.

7.3 No override. No commissions on sub-contributions, down-line activity, or any part of a Contribution.

7.4 Withdrawal. Available once you have completed full KYC and accrued commissions exceed USD 50 or cumulative commissions reach USD 1,000, whichever comes first.

8. Surplus Share Credits (Active Members)

8.1 Board discretion. Up to 50% of audited net surplus may be declared a Surplus Share Pool.

8.2 Allocation. Pool split pro-rata to the USD $25 Contribution each Active Member personally paid that cycle. Surplus Share is a conditional rebate, not passive income.

8.3 No entitlement. Pool may be zero; past payouts do not guarantee future ones.

9. Activation Bonus (one-time, per natural person)

Activation Bonus equals 25% of the first bundle; funded solely from the MIF.

10–22. Member Obligations, Limitation of Liability & Contact

Sections 10 through 22 follow the same wording as in CoopINCOME, including fiduciary disclaimers, non-refund clause (except as provided in § 5.3), 90-day withdrawal freeze, dispute-resolution procedure, governing law, and Appendix A Marketing Rules.

23. Governing Law & Jurisdiction

These Terms — and any dispute or claim arising from them or the Services — are governed by, and construed in accordance with, the laws of Barbados. You and the Coop irrevocably submit to the exclusive jurisdiction of the courts of Barbados.

23.1 Change-notice protocol

Any amendment to these Terms or Appendix B will be communicated via (i) an in-dashboard banner and (ii) email to the address on file at least 72 hours before the change takes effect. Continued use of the platform after the effective date constitutes acceptance.

Appendix A — Member Marketing Rules

Seven-bullet marketing standards (no income guarantees, no get-rich-quick claims, full disclosure of self-employment, etc.). Members must keep marketing records for 5 years.
